Arkenwell Terms of Service

1. Acceptance of Terms

By accessing, browsing, registering for, or using the Arkenwell software platform, web terminal, APIs, or related digital services (collectively, the "Service"), you agree to be legally bound by these Terms of Service ("Terms").

If you do not agree to these Terms, you must not access or use the Service. If you are accepting these Terms on behalf of an entity, company, or organization, you represent and warrant that you have the full legal authority to bind such entity to these Terms.

2. Eligibility

To access or use Arkenwell, you must satisfy the following eligibility requirements:

• You must be at least 18 years of age (or the legal age of majority in your jurisdiction).
• You must possess the legal capacity and authority to enter into binding legal agreements.
• You must not be prohibited from accessing or using financial software under applicable local, national, or international laws.

3. Description of Service

Arkenwell is a financial market intelligence and quantitative analytics software platform. The Service provides users with:

• Market data visualization tools and interactive options chains.
• Options analytics engines (including Gamma Exposure (GEX) and Delta Exposure (DEX) dealer positioning models).
• AI-assisted quantitative text summarization and information tools.
• Quantitative backtesting tools, historical volatility metrics, and educational content.
• Related software APIs, user workspace state management, and dashboard customization.

5. AI Disclaimer & Model Limitations

The Service incorporates Artificial Intelligence (AI) tools powered by third-party Large Language Model (LLM) APIs (Groq and Google Gemini).

AI-generated outputs are produced probabilistically and may contain:

• Factual errors, mathematical discrepancies, or hallucinations
• Omissions of material market information
• Inaccuracies or outdated historical information

AI insights must be cross-verified against raw data tables. Users remain solely and exclusively responsible for evaluating AI outputs and for any investment or trading decisions made in connection therewith.

6. Market Data Disclaimer & Latency Notice

Market data (including price quotes, option chain snapshots, and index values from the National Stock Exchange of India (NSE), BSE, and MCX) is delivered via third-party market data feeds.

Market data feeds may be:

• Delayed (e.g., 15-minute delay depending on your subscription tier)
• Incomplete, interrupted, or temporarily unavailable due to network or exchange outages
• Subject to formatting discrepancies or vendor calculation adjustments

Arkenwell does not warrant or guarantee the accuracy, timeliness, availability, continuity, or completeness of any market data feed displayed on the Platform.

7. Exchange Licensing Restrictions

Exchange data is subject to statutory exchange distribution licenses. In accessing the Service, you agree that you shall NOT:

• Redistribute, sub-license, broadcast, or transmit raw or derived market data to third parties
• Resell, commercialize, or charge fees for access to Arkenwell market data visualizers
• Scrape, crawl, or extract market data or option chains via automated bots, scripts, or spiders
• Mirror, frame, or host Arkenwell market data interfaces on external websites
• Use Arkenwell market data to create competing financial products, data feeds, or indices

8. User Accounts & Credentials Security

To access certain features of the Service, you must create a user account. You agree to:

• Provide true, accurate, current, and complete registration information.
• Maintain the confidentiality of your account login credentials and passwords.
• Accept full responsibility for all activities occurring under your account.
• Not share account credentials with third parties or allow multiple users to access a single account.
• Immediately notify us at support@arkenwell.co if you suspect unauthorized account access.

9. Subscription & Billing Terms

Arkenwell offers free trial access alongside paid subscription tiers:

• Free Trials: Trial plans provide temporary access to terminal features. Upon trial expiration, access reverts to free baseline features unless upgraded.
• Paid Subscriptions: Paid subscription fees are billed in advance on a recurring monthly basis through a PCI-DSS Level 1 certified payment processor. All listed prices are in Indian Rupees and are inclusive of applicable taxes. A payment receipt is available to download from your account after each successful payment.
• Auto-Renewal & Cancellation: Paid plans automatically renew at the end of each billing cycle unless cancelled prior to the renewal date via account settings or by emailing support@arkenwell.co. There is no minimum term and no lock-in: you may cancel at any time, and access continues until the end of the billing period you have already paid for. Where payment is collected by auto-debit mandate, the end date shown by your bank is the outer limit of that payment permission and does not commit you to any period of service.
• Refund Policy: Subscription fees are non-refundable except where required by applicable law or explicitly granted by customer support discretion.

10. Acceptable Use Policy

You agree to use the Service strictly for lawful analytical purposes. You shall NOT engage in:

• Automated scraping, bulk data extraction, or network crawling of API endpoints
• Decompiling, reverse engineering, disassembling, or attempting to derive source code of terminal software engines
• Abusing server infrastructure, sending automated spam queries, or causing excessive load on backend systems
• Conducting unauthorized vulnerability scans, penetration testing, or security probing without prior written consent
• Impersonating Arkenwell personnel or providing false information during account registration

11. Intellectual Property Rights

All software, source code, UI designs, quantitative algorithms, options analytics models, documentation, logos, trademarks, and website content comprise the exclusive intellectual property of Arkenwell and its licensors. Subject to your compliance with these Terms, Arkenwell grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal or internal business analysis.

12. AI & Analytics Ownership

Arkenwell retains all right, title, and interest in and to all proprietary analytics models, dealer positioning calculation systems (GEX/DEX engines), derived market indicators, volatility models, and platform algorithms. Nothing in these Terms transfers any ownership rights in our underlying mathematical models to users.

13. User Content & Feedback

You retain ownership of any text prompts, custom notes, or feedback you submit to the Service. By submitting feedback or feature suggestions to Arkenwell, you grant us a worldwide, royalty-free, perpetual license to use and incorporate your feedback into the Platform without compensation or obligation to you.

14. Service Availability & Modifications

We continuously update and optimize the Service. Arkenwell reserves the right to modify, update, temporarily suspend, or discontinue any feature, endpoint, or data feed at any time with or without prior notice. We shall not be liable to you or any third party for any service modification or suspension.

You agree to indemnify, defend, and hold harmless Arkenwell, its operators, developers, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising out of your violation of these Terms, your misuse of the Service, or your trading/investment activities.

17. Account Termination

Arkenwell reserves the right to suspend or terminate your account and restrict access to the Service at our sole discretion, without prior notice, for violations of these Terms, unauthorized data scraping, billing default, or abusive system activity.

18. Privacy & Data Framework

Your privacy is fundamental to us. Our collection and use of personal information in connection with the Service are governed by our Privacy Policy & Data Framework, which is incorporated into these Terms by reference.

19. Governing Law & Jurisdiction

These Terms shall be governed by, construed, and enforced in accordance with the laws of India, without regard to its conflict of law principles. Any legal suit, action, or proceeding arising out of or related to these Terms shall be instituted exclusively in the competent courts of India.
